Terms of Service
AG Inc. (“AG”) offers the service of Japanese language training (“service”) either to individual or corporate applicants who follow the procedures below indicated by AG
Persons using the Service are required to read and accept the whole of the Terms of Service.
AG shall deem Applicants to have accepted the whole of the Terms of Service at the time when they made their application to register for the Service.
1.Difinition
1) “applicant” refers to an individual who applies for AG services
2) “member” refers to an individual who is registered by AG as a recipient of the service.
3) “instructor” refers to a contracted trainer.
4) “purpose of the service” refers to language study courses from AG.
5) “ID” refers to the member ID and Password which is given to the member by AG.
6) “personal information” refers to all personal information given by the member to AG which would identify the member, including his/her name, telephone number, mailing address and E-mail address.
7)“token”refers to a credit which a member can use for lesson purchase.
2.Application of the Terms
These Terms apply to all applications made for AG Japanese Language training services and for the use of them.
3 .Contents service
Main contents of AG service are to offer :
1) Online language lessons
2) Providing information on language learning, international culture and social customs
3) Providing a website that enables you to check lesson history and schedule, reserve lessons, change your profile, access online classrooms, etc.
4 .Required environment and conditions of online lesson
(1) The following system environment is recommended for the normal use of the service. Please prepare at your own responsibility and expense.
① OS (conform to Zoom operating environment)
② Browser (conform to Zoom operating environment)
③Communication software, communication equipment
④ Headset
⑤ Webcam
⑥ Internet connection (Wired connection of broadband line is recommended.)
(2) The service may not be able to be used normally depending on the network congestion situation or the member's terminal environment, etc. However, in such a case, we do not take any responsibility.
In addition, please note that we will not refund any fees due to any cause other than our company's fault.
5.Application Procedure
(1) Applicants for the service (“applicants”) should apply online after having agreed with the policy written in these Terms. You may use our online application form which is on the AG JLTS website.
(2) Applications of students under 18 years old must be made by their parents, guardians or an appropriate adult acceptable to AG JLTS.
6.Notice of AG service commencement
AG will send each new member an E-mail to inform him/her of the commencement of the service when his/her registration to AG JLTS is successfully completed.
7.Formation of AG Service Contract
(1) The contract between the applicants and AG is formed at the moment of “completion of application”. “Completion of application” refers to the stage where an members has made the first payment and AG has received it.
(2) AG at its own discretion may choose to not accept an application should any of the following conditions occur;
1) The previous AG membership of the applicant or the Member was terminated for violation of these Terms.
2) AG finds any false, incorrect or blank information in the application form.
3) For any other reason that AG decides that the application is inaccurate or not appropriate.
8 .Purchasing, Fees and Payment Method for the Service
・The fee and payment method are as stipulated separately. In cases where member registration for the service has been conducted overseas, the fee shall be the same amount as the fee for us within Japan, including comsumption tax.
・The times for various updates to the Service and base dates for payments, etc., shall follow Japan Standard Time.( As the Services are online services, they are subject to consumption tax in Japan where they are provided.)
・Payment of fees for the Service shall be made by PayPal. For payment by a corporation, after the application has been accepted, the documents for payment, such as invoices, will be sent and payments shall be handled via bank transfer.
・ When a member delays payment to AG, AG can freely transfer the monetary claim to a third party.
・Internet connection fees and the cost of computer and telecommunications equipment required for Applicants and members of the Service to use the Service, shall be borne by Applicants and members of the Service.
9.Cooling off
Cooling-off period (for tokens exceed 50,000 yen) We accepts cancellations during the cooling-off period and early cancellation based on the Act on Specified Commercial Transactions. For details.
In the case of a proposed cancellation by members for their personal reasons of products priced 50,000 yen or less, we will not accept the cancellation, and usage fees that have been already paid are non-refundable.
In the case of cancellation due to the reasons caused by us, fees will be individually refunded.
10 .Valid period of token
Token will expire at the time when it is cAGulated from the time of token purchase and the specified time limit we difine has been reached.

​11.Contact from AG
Member of our service might agree that AG or our teachers send a message to your designated email address.
12.Changes to Registration information
The member shall promptly notify AG of any changes in name, address, e-mail address, or other contents of notification to the Company. AG shall not be liable for any failure in using the service due to the member's failure to notify.
13.Lessons
1.Lesson system
(1) When using the Service, members apply for courses separately defined by AG in advance, and book the lessons themselves before taking them. Tokens required for the lesson will be consumed by booking. members shall log into the Zoom classroom site at the scheduled date and time for the lesson and take the lesson.
(2) members shall be responsible for logging into the lesson site at the scheduled start time of their lessons.
(3)AG assumes no responsibility for a member’s inability to take a lesson due to his or her lateness, leaving early, absence or other trouble.
(4)If a member intends to cancel his or her lesson booking, he or she must carry out the cancellation procedures on the site at least 18 hours prior to the start time of the lesson in the manner prescribed by the Services. If these cancellation procedures are taken, the token for lesson will be refunded to the member.
(5) If AG is unable to provide a lesson booked by a member due to the circumstances of the instructor, AG may cancel the booking for the lesson. A notification of the cancellation of the lesson in this case shall be sent as an email to the email address registered by the member. In this case, the token for the lesson will be refunded.
(6)AG shall assume no liability, for whatever reason, except for the above cases (5). 2. Date and Time of provision of the Service
The individual dates and times for our service will be shown in My Page on our website.
3. Lesson Service Restrictions
(1) In the event that the progress of the lesson is disrupted due to system failures of the member’s device, disconnection associated with the member’s network environment or acts falling under those set forth in Article 17 (member Prohibitions), AG or the lesson instructor shall be able to end the member's participation in the lesson, even if the lesson is in progress.
(2) In accordance with the provisions of the preceding paragraph, even in cases where taking the lesson has become difficult and participation in the lesson has been ended, the member shall not be relieved of any obligations, such as the payment of fees.
14 .Intellectual property rights
1. All screens, information including voice capture and files provided to Applicants and members through the service remain the property of AG or rights holders that have duly authorized AG as an agent and can only be used via the method provided by the Service and are not to be used via any other method (including but not limited to duplication, distribution, transfer and automatic public transmission).
2. In the event that an applicant or members breaches the provisions of this Article and a problem arises with a rights holder or third party, the applicant or member shall resolve the issue at his or her responsibility and at his or her own expense and shall not cause any inconvenience to or damages to AG.
3. The member cannot use the copyrighted material displayed or provided through our service in a range beyond the private use specified by the Copyright Act, unless otherwise authorized by the company or the copyright holder in advance.
4. Applicants or members may not reproduce, publish or translate, or permit any third party to reproduce, publish or translate, any information, materials, videos, audio recordings, tests or services displayed or provided by us.
5. This company may freely use the content of questions and answers between members in the course of providing the service, as well as statements, messages, and answers to submitted issues posted, sent, or submitted by members to this company, to the extent that the privacy of members is not infringed upon. members shall not exercise their moral rights of authorship with respect to such use.
15. ID management
(1) members shall be responsible for the management of their IDs and other information.
(2) members shall not allow a third party other than the Company to use, lend, transfer, sell, or otherwise transfer their IDs to a third party without the consent of the Company.
(3) members shall bear the burden of any damage caused by insufficient management of IDs, errors in use, or use by a third party, etc., and this company shall not be liable for any such damage.
(4) In the event that members forget their IDs, etc., or find out that their IDs, etc. are being used by a third party (other than the member), they shall immediately notify this company and follow any instructions given by this company.
16 .Suspension/Termination of the Services
1. In the event that any of following apply, AG can suspend or interrupt the operation of the service, and shall assume no liability in relation to the suspension of the service.
(1) When performing irregular or emergency maintenance on the service's system.
(2) When normal provision of the service has become impossible due to war, riot, turmoil, labor disputes, earthquake, volcanic eruption, flood, tsunami, fire, blackout or other states of emergency.
(3) When there is a failure, etc., of the system providing the Service.
(4) Other cases where AG has determined that temporary interruption is necessary for the operation of the Service.
(5) When its provision of the service has become technically difficult or impossible.
2. When suspending or interrupting operation of the Service in accordance with the provisions of the preceding paragraph, AG shall notify applicants or members of the fact beforehand. However, this shall not apply in unavoidable emergency situations.
17.Personal Information
1. AG gives the utmost consideration to the protection of the personal information of members. member information acquired by AG in relation to the use of the service shall be handled in accordance with the “Handling of Personal Information” under the separately published “Privacy Policy”.
2. For AG’s “Privacy Policy” and “Handling of Personal Information”, please refer to the relevant pages on AG website.
18 .Compensation for Damages
1. In the event that an Applicant or member causes damage to AG due to a breach of these Terms of Use or unlawful conduct, AG+B18 shall be able to seek appropriate compensation from said Applicant or member.
2. In the event that AG is liable to pay compensation to member, in accordance with these Terms of Use, AG’s amount of compensation in any case shall be up to a maximum amount equivalent to the fee paid by the Applicant or member for the product or service constituting the cause of the compensation claim, and AG shall bear no further liability for damages. However, this shall not apply in cases where default is due to intention or gross negligence on the part of AG is the cause.
3. In the event that an Applicant or member causes damage to a third party through the use of the Service, the Applicant or member shall resolve the issue on his or her own responsibility, and shall not cause AG to assume any liability.
19 .Indeminity
1) AG will not be liable for any losses or damages (whether such losses were foreseen, foreseeable, known or otherwise) including loss of profits, indirect, consequential, special or exemplary damages or losses due to a compensation claim against a member by third parties for such reasons as;
1) Loss or damage during installation of a network cable, network troubles or bad connections.
2) Loss or damage due to power cuts including scheduled power cuts.
3) Loss or damage due to unforeseen and/or unavoidable incidents such as fires and/or other natural disasters.
4) Loss or damage caused by the member.
5) Loss, damage or unwanted changes to information stored on their computer or other devices.
(2) The member agrees that AG or its instructors shall not be liable for technical problems including loss, damage or changes to information stored on his/her computer or other devices, due to viruses spread through contaminated emails sent by AG or it’s instructors.
20. Restrictions
In case of violations of these rules by the member, AG may terminate his/her contract without refunding any of the fees paid. The following behaviour is strictly prohibited.
1) Switching, transferring or renting the rights which a contracted member receives to third parties without prior notice to, and approval by AG.
2) Violation, or putting under the threat of violation, the copyright and the intellectual Property Rights which belong to AG and/or any other third party.
3) Illegal access to the IDs of other members of AG.
4) Violation of the privacy of AG and/or any other third parties.
5) Illegal access to the secure information of AG.
6) Using or providing harmful computer programs such as a computer virus to AG and/or any other third parties.
7) Any defamatory or slanderous behaviour towards AG and/or any other third parties.
8) Damaging or threatening to harm the business of AG and/or any other third parties.
9) Sending or publicly distributing illegal data of any kind to AG and/or any other third parties.
10) Violation of laws, immoral or harmful behaviour towards AG and/or any third parties.
11)Criminal acts, or acts that are or may lead to criminal acts, election campaigns or similar acts, activities related to sexual mores, religion, or politics.
12) Taking lessons from AG instructors without using valid AG lesson tickets, and/or making reservations with AG instructors outside the AG booking system.
21 .Jurisdiction
n case of any suits or legal actions brought against AG, the Tokyo Regional Court will govern them as an agreed exclusive competent court in the first instance.
22 .The Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Japan.
23 .Disputes
If there is any dispute between the member and AG concerning any AG JLTS service, the problem should initially be solved through open discussion between AG and the member.
24.Continuous Effectiveness of the Terms
Although a part of these Terms may be invalidated by relevant authority or governing law, it is agreed that other contents of these Terms will remain effective.
